Terms and Conditions for Clubs

The legal basis governing the sale and use of our services for clubs and administrators.

1. Glossary

Netatoo: refers to the company Netatoo S.A.S. SIRET 48782045800031; also referred to as "we", "our", "us" in this document.
Application: refers to the BalleJaune and OpenResa online booking platform, published by Netatoo, accessible from the domain names ballejaune.com and openresa.com.
Club(s): refers to an entity represented by one or more administrators (association, municipality, company, etc.). User(s): refers to the persons holding an account in a club's database.
Administrator(s): refers to the person or persons in charge of the club, having full or partial access to the Administration section of the application (chairperson, manager, secretary, coach, etc.).

2. Our application

Netatoo SAS (SIRET 48782045800031) provides an online booking platform (ballejaune.com and openresa.com) allowing registered clubs to manage booking calendars and a user database. All bookings made by a club's users represent a direct contractual relationship between the user and the corresponding club.

3. Agreement between Netatoo and the club

By creating an account on BalleJaune.com or OpenResa.com, the club acknowledges having read all the elements contained in this document and agrees to meet all the requirements on behalf of the listed club.
If one or more of the conditions set out in this document are not met, Netatoo reserves the right to suspend or cancel the club's account.

4. Responsibilities of Netatoo and the club

The information provided by the club in its web space is managed exclusively by the club and, as such, the club is entirely responsible for updating the information displayed on its pages.

Netatoo acts as an intermediary between the club and its users. The club is responsible for its own "virtual" database. Netatoo will never intervene directly in the club's database, except in cases of force majeure, or as part of a requested and authenticated deletion of data, or for maintenance or technical support purposes.

Although we exercise reasonable skill and care in performing our services, we do not verify and cannot guarantee that all the information collected by Netatoo on behalf of the club is accurate, complete or correct. Netatoo cannot be held responsible for errors (including obvious and typographical errors) or for inaccurate or misleading information that may be collected and displayed on the club's pages.

4.1. Entering the personal data of other natural persons into the application

Club administrators have the option of adding other users (administrators and non-administrators) to the club's database. To do so, the administrator enters that person's personal data into the application.

Where required by law, administrators must obtain the consent of the natural person before storing that person's personal data in the application. Proof of such consent must be able to be presented to Netatoo and to the supervisory authorities upon request.

To ease the task of obtaining consent, Netatoo recommends that the club invite users to sign up via the registration form available on the club's home page. Individuals can then directly create a user account and enter their personal data, accepting our terms and policies in the process. This process provides the explicit legal basis for the collection of the personal data of the data subject.

4.2. Use of communication tools

Netatoo provides the club with tools to communicate with its users, in particular a module allowing messages to be sent to all or some of the users in its database.

These messages are sent to the "internal" messaging system of the application and may also be sent by e-mail and SMS provided that the user has given consent. In this respect, each user can change their e-mail and/or SMS notification preferences in the "My account > Notifications" menu.

The club undertakes to use the communication functions reasonably and to respect users' choice as to whether or not to receive communications by e-mail and/or SMS.

5. Privacy & confidentiality

Netatoo applies high ethical standards and respects the privacy of clubs and users. We diligently protect the confidentiality of your data and undertake that no data will be exchanged, transferred or sold on any medium whatsoever to third parties.

6. Right to modify, rectify, delete and port the personal data of club users

As the club is responsible for the personal data held in its database, it may receive requests for rectification, deletion or portability of data from the users registered in its database. These requests made by users may include, but are not limited to:

  • the modification, deletion or rectification of personal data as listed in our privacy policy for users,
  • a request for full deletion of the account and its data,
  • a request for data portability.

As a first recourse, the club undertakes to respond to requests of this nature within 7 days from the sending of the request by the user. Once this period has expired, the user will be entitled to ask us to carry out the operation. Before proceeding, we will always seek confirmation from the club, which will have 7 days to demonstrate that it is legally necessary for it to retain all or part of the data (e.g. to comply with a legal obligation or for the performance of a task carried out in the public interest or in the exercise of official authority vested in the data controller).

As a last resort, Netatoo reserves the right to intervene directly in the club's database in order to comply with its legal obligations towards the users of the application. The requesting user must provide Netatoo with concrete proof of identity.

6.1. How to modify or delete a user's personal data

To modify, rectify or delete the personal data of a club user, a club administrator must go to the "Administration > Users > User management" menu.

To delete a user account, the administrator will move the user to the trash and then run the "Empty trash" or "Delete permanently" action in order to finalise the deletion of the data.

Please note that certain data such as the bookings made by the user will not be deleted from your database; this data will be "anonymised" in such a way that it is no longer possible to link the deleted user to the booking. This can be useful in order not to alter the statistical data available from the "Administration > Dashboard" menu.

7. Security, backup and data retention policies

This section concerns the security of the application's general data, including but not limited to user account details, booking information and information relating to the configuration of the club's account.

All general communication between a user's web browser and Netatoo's servers takes place using an encrypted TLS connection. While such a connection is the industry standard for e-commerce applications and generally provides a high level of application security, Netatoo is not responsible for data that may be exposed to malicious third parties as a result of attacks or software flaws.

7.1. Data backup and restoration

In order to provide a level of protection against catastrophic failures, Netatoo's production infrastructure is backed up regularly. In the event of a failure of the primary database, Netatoo will trigger a rollback to the most recent backup. In this situation, Netatoo is not responsible for data that cannot be restored from the backup.

The restoration of data from a backup will only be carried out if the primary database is unrecoverable or in the event of a migration to new servers. Restoration is not available for general use and cannot be arbitrarily requested by a club during the normal operation of the application. Netatoo is not responsible for data loss caused by the negligence of the club or its administrators.

7.2. Data retention

Backups are kept for 90 days.

Payment collection and billing data and tax vouchers (payments, invoices, credit notes, closings, journals and tax archives) are kept for a minimum period of 6 years, in accordance with Article L. 102 B of the French Book of Tax Procedures, notwithstanding any request for early deletion. This legal retention obligation takes precedence over any erasure request relating to this data.

The other data in the database of a club "in production" is kept for a maximum period of 6 years, unless there is a specific request from the club wishing, for example, to "archive" certain data before that period. Older data may be removed from our servers without notice. Clubs seeking a shorter or longer retention time are invited to express their needs to Netatoo.

8. Subscriptions and billing

Information relating to the club's plan and subscription can be viewed at any time in the "Administration > Settings > Account settings" section (accessible by club administrators). In this section, club administrators can view the plan currently used by the club, the start and end dates of the subscription, the remaining available resources (limit on the number of users, SMS credits, etc.) as well as the invoice history.

8.1. Free plan

We offer a free plan limited to 30 users. This is assigned by default to each club upon registration, unless otherwise chosen. There is no time limit on the use of the free plan and no payment information is required to benefit from it.

The free "BRONZE" plan includes all the basic features of the application with a database limited to 30 users.

8.2. Paid plans

For more generous usage limits, we offer paid subscriptions whose prices are based on the size of the database (number of users) and the desired period of use.

The paid plans provide all the basic features of the application, already included in the free plan. Three packages are currently offered:

8.3. Access control & equipment management option

To benefit from the advanced features relating to access control (access code, RFID badge) and equipment management (lighting, heating), the club must subscribe to a paid option whose price is based on the size of the database (number of users) and the desired period of use. ​ This option includes the installation, configuration and maintenance of a software module developed by Netatoo, in collaboration with the partner selected by the club (PassPerso, Adveez, Bodet Software, Logidom, Spartime Innovations).

  • Up to 30 users
    Price: €60 incl. VAT / year, or €15 incl. VAT / quarter
  • 30-150 users (SILVER)
    Price: €60 incl. VAT / year, or €15 incl. VAT / quarter
  • 150-500 users (GOLD)
    Price: €120 incl. VAT / year, or €30 incl. VAT / quarter
  • 500-1500 users (PLATINUM)
    Price: €240 incl. VAT / year, or €60 incl. VAT / quarter

Above 1500 users, the club may contact Netatoo to obtain a custom quote according to its needs.

8.4. Free trial of the paid plans

We offer a free, no-commitment 60-day trial on all our paid plans. This free trial is offered to the club upon registration from the sign-up page. If the club is already registered on the free plan, it can also benefit from this free trial with the paid plan of its choice by making a request from our contact page.

8.5. Renewing or changing plan

Netatoo offers each club the possibility to upgrade and downgrade the subscription at any time. This service is offered from the "Renew or change plan" button accessible from the "Administration > Settings > Account settings" section.

Upgrading or renewing a paid subscription involves the creation of a purchase order and the actual payment of the latter in order for the service to be delivered to the club.

Downgrading a paid subscription to the free plan can be carried out free of charge by the club, provided that the number of users in the database does not exceed the limit of the free plan. To this end, the club may delete a certain number of users from its database in order to be eligible for the free plan.

If the club changes its subscription during a period already invoiced and paid for, the price to be paid will be calculated pro rata to the last invoice settled. The club is invited to contact support if it has any questions about the pro rata calculation of the billing.

8.6. Changes to pricing conditions

Netatoo reserves the right to modify the pricing conditions and the nature of the various plans offered. In the event of a change, a club registered on the free plan will automatically benefit from the new conditions on the scheduled date of their entry into force. A club that has taken out a paid subscription may choose either to wait until its current subscription expires, or to request to benefit immediately from the new conditions.

8.7. Currency & exchange fees

All subscription fees are in Euro (EUR) and our bank account (CIC-Est) is held in France. Netatoo assumes no responsibility for any exchange fees that may be incurred by the club when paying subscription fees.

9. Payment terms

The price is paid by secure payment, according to the following methods:

  • by bank card or with a PayPal account,
  • by cheque sent by post,
  • by bank transfer to Netatoo's bank account (details of which are provided when placing the order and on the PDF purchase order),
  • by administrative payment order (contact us to obtain a customised invoice).

The renewal of a paid subscription may cover a period of 3 months, 6 months, 12 months, 24 months or 36 months. The price is payable in cash by the club, in full on the day the order is placed.

An invoice is drawn up by Netatoo and given to the club upon delivery of the ordered services. This invoice is sent to the club at the e-mail address indicated when placing the order. The invoice is also available for download in the "Administration > Settings > Account settings" menu.

Payments made by the club will only be considered final after the effective collection of the sums due by Netatoo. We will not be required to deliver the services ordered by the club if the club does not pay us the full price under the conditions set out in this document and on the purchase order / invoice.

10. Right of withdrawal

Under the terms of Article L221-18 of the French Consumer Code, the consumer has a period of 14 days to exercise the right of withdrawal, without having to give reasons for the decision or bear any costs other than those provided for in Articles L. 221-23 to L. 221-25. The aforementioned period runs from the day the contract is concluded. ​ The right of withdrawal may be exercised online, using the contact form or any other unambiguous statement expressing the wish to withdraw, and in particular by post addressed to Netatoo at the postal address indicated in this document (section "Contact us").

The refund of the sums actually paid by the club will be made within 14 days of Netatoo's receipt of the notification of the club's withdrawal.

11. Account termination and data deletion

The club may terminate its account at any time and request the permanent deletion of all corresponding data (settings, users, bookings, etc.). The termination request must be made by contacting us by e-mail or post.

When requesting termination, the club may also request the archiving of the data by Netatoo for a period of up to 12 months (under these conditions, the club can thus retrieve or restore its data at a later date).

Before carrying out the termination and deletion of the data, Netatoo reserves the right to verify the identity of the requester in order to authenticate the legitimacy of the request, so as to verify that this request is indeed made on behalf of the club and to prevent any malicious or ill-intentioned request.

Once the termination request has been validated and authenticated, the data will be deleted from the production database within a maximum of 7 days or on a date agreed between Netatoo and the club. Please note that the data will nevertheless remain for 90 days in our backup files (these files are encrypted using the AES-256 algorithm).

12. Disclaimer

The club expressly acknowledges that it uses the application at its own risk and under its sole responsibility. Netatoo provides clubs and users with information for guidance purposes, as is, with all its imperfections, errors, omissions, inaccuracies and other ambivalences that may exist. In any event, Netatoo may under no circumstances be held responsible:

  • for any direct or indirect damage, in particular with regard to loss of profits, loss of earnings, loss of customers or of data which may, among other things, result from the use of the application or, conversely, from the impossibility of using it.
  • for the content posted online by the club on its home page and its pages.
  • for the content posted online by users, in particular via the communication modules such as "Find a Partner" and "Messaging".

Netatoo cannot be held liable for any technical unavailability of the connection, whether due in particular to a case of force majeure, to maintenance, to an update, to incorrect configuration by the club, to intervention by the hosting provider, to an internal or external strike, to a network failure, to a power cut, or to incorrect configuration or use of the user's computer.

13. Applicable law – Jurisdiction

These terms and conditions are governed, interpreted and applied under French law. Only the courts of Nancy (France) shall have jurisdiction to hear any disputes relating to these terms of use and their implementation, in particular their validity, interpretation, performance, termination and consequences.

14. Legal information

Netatoo SAS with a capital of €16,000, represented by its chairman Simon Martins and registered with the Trade and Companies Register of Nancy, France under SIRET 48782045800031. ​ The registered office of Netatoo S.A.S. is located at 32 r nationale, 54300 Chanteheux, France.
